ADVERTISING AND DISCOUNTED RECRUITING SERVICES AGREEMENT

Client:   ______________________________________________________________

                           and NPPS hereby enter into the following agreement for advertising services:
  

THIS AGREEMENT IN NO WAY OBLIGATES EITHER PARTY TO ULTIMATELY PLACE/HIRE A CANDIDATE PROVIDED BY NPPS.  BOTH PARTIES AGREE THAT ADVERTISING FOR EMPLOYMENT ON THE NPPS/ENVELOPELADY.COM WEBSITE DOES NOT GUARANTEE OR IMPLY GUARANTEED SUCCESS IN HIRING, OR THAT ANY MINIMUM NUMBER OF CANDIDATES/RESPONDENTS WILL BE FORTHCOMING FROM SAID ADVERTISING.

NPPS agrees to run classified advertisements for Client on its Envelopelady.com website in the Jobs Page section. Ad Copy/Content must be submitted to NPPS and is subject to editing by NPPS to comply with NPPS’ standards of moral, ethical, and legal conduct and to comply with all statutes and/or laws which may apply thereto.  NPPS will submit edited copy to Client prior to publishing.

Client agrees to indemnify and hold harmless NPPS, its employees and affiliates from any and all legal actions and/or complaints from candidates or other entities resulting from Client’s advertising with NPPS. 

Client agrees that NPPS is not liable for the continuation or availability of the advertising service, and will not be held liable for the failure of the internet, webservers, or other hardware and software which may render the website inoperable or inaccessible to viewers.  In the event of “down time” from the website, Client will be entitled to extend their advertising by the amount of time “down” at no extra charge. 

All fees for advertising must be paid in full prior to publishing of the advertisements for the following 30 days.  Ads may be cancelled by Client at any time they choose after publishing, but Client will not be entitled to any refund or rebate for doing so.  Ad slots may not be transferred to other companies.

Recruiting Fees Discounts:  All fees for Contingent Recruiting hires will be reduced as below, provided that the ACTUAL OFFER OF EMPLOYMENT is made by Client to an NPPS candidate during the actual period that the advertising is running.  In other words, if Client pays for ads from April 1 through June 31, then wishes to hire a candidate from NPPS, that candidate must receive their employment on or before June 31 to qualify for the reduced placement fee. 

FEE SCHEDULE 

FEES: Client is entitled to 2 ads per plant/branch paid for.  Client can revise/edit ads one time each month.  NPPS will try and accommodate more revisions if requested, but cannot guarantee to do so, subject to availability of data entry and customer service.
 
1-3  Plants= $1500/Month    4-7  Plants= $2000/Month     8-12 Plants= 2500/Month

Additionally, Subject to the terms of Recruiting Fees Discounts (above), Client’s NPPS Contingent Recruitment Fees will be reduced to 15% for Management and Sales Hires, and $5000 for Machine Adjusters.

TERMS: Client agrees to a minimum 90 day run commitment to begin all advertising.  Terms are    Net Cash, first 3 months’ total payment is due in advance of publishing of advertisements. Client agrees to be billed monthly thereafter (preferably via email). Advertisements are subject to NPPS stopping their publishing until account is paid up to date.  Ads will continue month-to- month so long as they are run continuous, without a break due to Client’s cancellation or unpaid past due.  If no ads are run or paid for on time for any 30 day period then new ads must be purchased for a new 90 day minimum commitment.

BANNERS:  Client is entitled to one (1) banner/logo advertisement on the Envelopelady.Com Jobs Page during the run of Client’s advertising with NPPS.  Banner must be submitted in JPEG or GIF format, and may be linked to what ever URL that Client wishes, including directly to Client’s NPPS ads.  Due to the fluid nature of the composition of the website NPPS cannot guarantee the size or placement position of the banner ad.

ACKNOWLEDGMENT

The undersigned acknowledges these terms and conditions as an authorized agent of Client.  This agreement shall be deemed for all purposes to have been made and entered into in the State of Missouri and considered to be a Missouri contract, and shall be governed by and construed in accordance with the laws of that State, without regard to the conflict of laws principles thereof.  Any litigation or other dispute resolution between the parties relating to this Agreement shall take place in a state court of competent jurisdiction located in the county of St. Louis, MO or in the Federal District Court therein.  The parties consent to the personal jurisdiction of, and venue in, said courts.  CLIENT AGREES TO ASSUME ALL COSTS OF COLLECTION, INCLUDING ATTORNEY’S FEES.  Late payments are subject to interest charges of 18%. This agreement supersedes all previous conflicting NPPS agreements.
