NPPS Practice Search Employer Fee Agreement

THIS AGREEMENT IN NO WAY OBLIGATES EITHER PARTY TO ULTIMATELY PLACE/HIRE A CANDIDATE PROVIDED by the NPPS Practice Search program (NPPS).

Rather it serves to confirm the contingent fees and payment terms agreed to if Client (you) should hire a physician candidate provided to you by the NPPS Practice Search program. 

NPPS does not reference or authenticate candidates provided through this service.  You are advised to rely upon your own referencing resources for accuracy and completeness.  You hereby agree to release and hold NPPS harmless from all related liability/damages, (real, inferred, or perceived) due to any errors or omissions.

You hereby release NPPS from any financial responsibility for candidate travel and interview expenses. 

You agree to assume full responsibility for payment of NPPS fees for any referred candidate which you hire/contract with or whom you subsequently pass on to or introduce to any other party and which results in the hire/contracting of that candidate within one year of the referral.

YOUR ACCEPTANCE OF NPPS PRACTICE SEARCH REFERRED CANDIDATES  SUPERSEDES ALL PRIOR OR INCIDENTAL KNOWLEDGE OF OR CONTACT WITH THOSE CANDIDATES. YOU ASSUME FULL RESPONSIBILITY FOR CHECKING AND PRESCREENING YOUR OWN CONTACTS, FILES, AND OTHER SOURCES, ETC., BEFORE ACCEPTING NPPS REFERRALS.

FEE SCHEDULE: $5000 per candidate

Employer Procedure:

1. Submit your practice description to a candidate.
2. NPPS Practice Search forwards information to candidate.
3. Candidate, if interested, will send CV to NPPS.
4. NPPS will send you the CV with all identifying information and a receipt.
5. You will have 24 hours to reject the candidate due to prior knowledge/contact.  Failure to notify NPPS in writing within the 24 hour period will constitute final and and full acceptance of that physician candidate as an NPPS referral.

PAYMENT TERMS: Are Net Cash, due 15 days after start of employment, or the signing of an employment agreement or contract with candidate, whichever occurs first. Late payments will be subject to an interest charge of 18% per annum. Client agrees to pay all necessary costs of collection, including attorney's fees.

GUARANTEE ADVISORY: NPPS Practice Search is being paid a fee for its knowledge and services which enable you to locate candidates and secure their commitment to come to work for/with you. You acknowledge that it is beyond the control of NPPS whether a placed candidate will ultimately report to work as agreed or will stay for a particular period of time. Because of the greatly reduced fees for the Practice Search program, there is no guarantee, actual or implied, provided by NPPS for these candidates.  NPPS Practice Search cannot and does not guarantee the performance or tenure of hired candidates.   Employers/Clients are advised to use their discretion prior to making offers, executing contracts, or starting employment with physicians.

ACKNOWLEDGMENT

The undersigned acknowledges these terms and conditions as an authorized agent of Client. This agreement shall be deemed for all purposes to have been made and entered into in the State of Missouri and considered to be a Missouri contract, and shall be governed by and construed in accordance with the laws of that State, without regard to the conflict of laws principles thereof. Any litigation or other dispute resolution between the parties relating to this Agreement shall take place in a state court of competent jurisdiction located in the county of St. Louis, MO or in the Federal District Court therein. The parties consent to the personal jurisdiction of, and venue in, said courts.

This agreement applies only to candidates referred by the NPPS PRACTICE SEARCH program and in no way alters/changes/or replaces clients liability of physician candidates referred previously or in the future by National Physician Placement Services under our normal contingency agreement.
